Company Secretarial Assistant is a role providing company secretarial assistance across the teams supporting three of AXA XL’s key regulated entities, and other assistance to AXA XL’s company secretarial teams globally. The role will report to the AXA XL Global Head of Corporate Governance. The role will be based in Gurgaon, India on a 12-month Fixed Term Contract.

The three AXA XL key regulated entities you will be supporting primarily are:

  • XL Insurance Company SE (“XLICSE”), the principal activity of which is the transaction of general (re)insurance business. XLICSE provides the main insurance company platform to operate under the AXA XL brand from branches within Europe & Asia Pacific. It is regulated by the Central Bank of Ireland (“CBI”) & is designated by the CBI as a high impact firm.
  • XL Re Europe SE (“XLREE”), the principal activity of which is the transaction of non-life reinsurance business. XLREE is regulated by the CBI and designated as a medium-high impact firm.
  • XL Catlin Services SE (“XLCSSE”), the AXA XL European service company, a CBI regulated intermediary.

What you’ll be DOING

What will your essential responsibilities include?

Board / Committee meetings and Director support:

  • Supporting the management of Board and Committee meetings, including calendar management (scheduling of meetings, strategy and board training sessions / arranging catering and booking of meeting rooms); maintaining action trackers; and preparing skeleton minutes before meetings.

  • Supporting the collection, collation, upload & distribution of Board & committee papers, using Diligent (Board portal), including liaising with all relevant stakeholders.

  • Supporting the maintenance of Board and Committee annual planners / reporting calendars.

  • Maintaining meeting and board training attendance trackers.

  • Supporting the administration of Annual General Meetings.

  • Non-executive director support administration, including maintenance/updating of director information packs.

  • Assisting with the delivery of Board pack submissions to the CBI.

Governance:

  • Supporting the teams’ maintenance of core governance records (terms of reference, board/committee membership, policies, minutes, action logs, escalation docs).

  • Managing team SharePoint sites.

  • Assisting with drafting governance related papers for boards and committees.

  • Preparing branch filings and handling information requests from local contacts.

  • Assisting with corporate authority documents, including license renewals and powers of attorney.

  • Compiling information for due diligence, KYC and AML requests.

  • Supporting the Global Head of Corporate Governance on ad hoc tasks and projects.

Compliance:

  • Irish Companies House (CRO) filings.
  • Maintaining PoA and Conflicts of Interests registers.
  • Maintaining Galaxy (AXA Group entity management software) and supporting with sign off exercises.
  • Assisting with the preparation of Group fitness and probity forms, circulating for signature by directors.

You will report to Global Head of Corporate Governance.

What you will BRING

We’re looking for someone who has these abilities and skills:

Required Skills and Abilities:

  • Degree level qualification in Law or equivalent.
  • Background in corporate governance with experience as a governance professional, company secretary or similar role (preferred).
  • Excellent written and collaborative communication.
  • Able to communicate effectively with internal and external stakeholders.
  • An ability to work self supportably and on own initiative whilst being part of a wider team.

Desired Skills and Abilities:

  • Ability to prioritize conflicting needs and progress matters expeditiously, proactively and follow through on projects to successful completion.
  • Willingness to be trained in, understand and utilize AXA XL’s information systems.
  • A proactive approach to problem-solving with good decision-making capability.
