Job description:
This role involves providing comprehensive legal counsel and execution in a range of corporate transactions. Primary responsibilities include:
Managing all aspects of mergers and acquisitions (M&A) transactions, including due diligence, drafting and negotiating transaction documents (e.g., purchase agreements, merger agreements, term sheets), and overseeing deal closings. Handling leveraged buyout transactions, including financing agreements and related documentation. Advising on corporate governance matters, ensuring compliance with relevant regulations and best practices. Structuring and executing complex commercial transactions. Conducting in-depth legal research and analysis on relevant issues.
Interacting with clients, investment bankers, and financial advisors. Collaborating with subject matter experts across various practice areas within the firm.
Qualifications:
Juris Doctor (JD) degree from an accredited law school. Admission to the State Bar of Georgia or willingness to obtain admission promptly. 4-6 years of relevant experience in M&A, leveraged buyouts, corporate governance, legal secondment, regulatory requirements for acquisition, due diligence, corporate contracts, and complex commercial transactions within a reputable law firm as outside counsel. Background supporting clients in private industry, private equity, public companies, international corporations, and conglomerates.
Strong understanding of relevant laws, regulations, and industry practices. Exceptional analytical, research, and
problem-solving skills
. Excellent written and oral
communication skills
, including the ability to draft and negotiate complex legal documents. Demonstrated ability to manage client engagements effectively. Keen
attention to detail
and strong organizational skills. Ability to work collaboratively in a team-based environment.
Strong work ethic
and a high degree of responsibility and initiative.

Experience with
