The Position

We are seeking a highly motivated, tech-forward Commercial Real Estate Attorney to join our network and serve as a vital transactional expert on our platform.

This is a flexible, remote independent contractor (1099) position designed to offer sophisticated, high-yield legal work with a premier work-life balance. In this role, you will work inside our considered, fully digital workspace, collaborating directly with our proprietary Counsel AI. The Counsel AI reads and analyzes every page of lease agreements, zoning reports, environmental reviews, and title commitments in seconds, composing structured legal memos for your review. Your primary responsibility is to review the AI’s findings, perform targeted drafting/negotiation, and provide the critical legal sign-off before documents are finalized for our clients.

Core Responsibilities

  • AI-Collaborative Sign-off: Supervise, review, and sign off on structured legal memorandums (such as Title Reviews and due diligence summaries) generated by Counsel AI, translating complex data into plain, actionable advice for our clients.
  • Transactional Drafting & Review: Draft, review, and modify key commercial closing documents, including letters of intent (LOIs), binding purchase and sale agreements (PSAs), operating statements, and conveyance deeds.
  • Lease Negotiation: Review and negotiate retail, office, industrial, and mixed-use commercial leases (such as triple-net Starbucks NNN structures), with a deep command of tenant improvement (TI) allowances, common area maintenance (CAM) calculations, and recapture clauses.
  • Surgical Due Diligence: Manage transaction risk by conducting due diligence, inspecting ALTA/NSPS land surveys, title commitments, Phase I/Phase II environmental site assessments, and zoning reports to resolve title defects, easements, and boundary overlaps.
  • Debt & Finance Coordination: Advise on property financing, CMBS loan requirements, mezzanine debt structures, and loan commitments; review and abstract lender loan and debt structures.
  • Closing & Escrow Guidance: Direct the final closing stages, coordinating settlement, escrow funding disbursements, and overseeing the successful recording of deeds.

Required Qualifications

  • JD from an American Bar Association (ABA) accredited law school.
  • Active New Jersey State Bar Admission in good standing.
  • 3 to 8 years of dedicated experience strictly in commercial real estate transactional law (with AmLaw, mid-sized firm, or high-growth corporate in-house experience preferred).
  • Please note: Residential-only real estate experience will not be considered for this role.
  • Extensive experience with commercial acquisitions, leasing, and representing either sophisticated commercial borrowers or institutional lenders.
  • High technical aptitude and comfort working with legal software, automated platforms, and AI-driven document review tools.
  • Exceptional negotiation, risk-assessment, and communication skills. You must be able to guide first-time investors by explaining complex property laws in clear, jargon-free English.

Position Structure & Compensation

  • Classification: Independent Contractor (1099)
  • Compensation: $180.00 – $200.00 per hour (billed hourly or structured on a per-project equivalent basis, depending on transaction volume).
  • Location: Fully Remote (Work from anywhere in the U.S.).
