Commercial Contracts Attorney (Contract Position)
Our client is seeking an experienced Attorney to join their in-house legal team on a contract basis. This position will work closely with the Legal Department and key business stakeholders to support commercial agreements, compliance initiatives, and broader corporate legal matters. The environment is collaborative and fast-paced, offering meaningful exposure to both strategic and day-to-day legal operations.
Key Responsibilities
Commercial Contract Drafting & Negotiation
- Independently draft, review, redline, and negotiate a wide range of commercial agreements, including NDAs, MSAs, SaaS agreements, vendor contracts, and Statements of Work.
- Provide practical legal advice that balances business objectives with risk management considerations.
Contract Lifecycle Management
- Oversee contracts throughout the entire lifecycle, from intake and negotiation through execution, renewal, and termination.
- Support process improvements and contract management best practices.
Technology & Innovation
- Utilize legal technology and AI-driven tools, including CLM platforms and solutions such as Harvey AI, Agiloft, and Ariba, to enhance efficiency and streamline contract review processes.
Compliance & Risk Management
- Ensure contracts comply with company policies, applicable laws, data privacy requirements, and regulatory obligations.
- Collaborate with Compliance, Finance, Procurement, and other business teams on legal and operational matters.
Cross-Functional Partnership
- Serve as a trusted legal advisor to internal stakeholders.
- Assist with audits, template development, policy initiatives, and other corporate legal projects as needed.
Qualifications
- Juris Doctor (J.D.) from an accredited law school.
- Active license to practice law in at least one U.S. jurisdiction.
- 5+ years of experience practicing law with substantial commercial contracting experience, preferably within a technology, SaaS, or in-house legal environment.
- Strong drafting, negotiation, and issue-spotting skills.
- Experience utilizing legal technology platforms, including DocuSign, CLM systems, and AI-assisted contract review tools.
- Excellent communication, organizational, and project management abilities.
