About the Role
We are seeking a detail-oriented and business-savvy Commercial Contracts Attorney to serve as a dedicated legal resource supporting our clients' contract review and negotiation needs. In this role, you will function as an extension of our clients' in-house legal and procurement teams — reviewing, redlining, and negotiating vendor and commercial agreements on their behalf, while integrating into their operational workflows and review cadences.
You will be hired and managed by our firm, performing contract redlines and negotiation support on behalf of clients; clients retain signing authority on all final agreements.
Responsibilities
- Review, redline, and negotiate vendor and commercial contracts on behalf of clients, including MSAs, SOWs, NDAs, SaaS agreements, and procurement-related agreements
- Serve as a trusted point of contact for clients' General Counsel, in-house legal teams, and procurement stakeholders
- Translate clients' business and procurement objectives into contract language that protects their interests
- Identify and address key legal risks and deviations from client contracting standards and playbooks
- Collaborate with clients' in-house counsel, business owners, and vendor stakeholders to finalize contracts (clients retain signing authority)
- Integrate effectively into client workflows, cultures, and review cadences
- Track status and version control across active negotiations and contract pipelines
Qualifications
- JD from an accredited law school; active bar admission in at least one U.S. jurisdiction
- 8+ years of experience reviewing and negotiating commercial contracts
- Familiarity with procurement-driven contracting and vendor agreements strongly preferred
- Experience working alongside in-house counsel at a law firm or sophisticated corporate legal department is a plus
- Ability to work independently in a fast-paced, client-facing environment
- Strong communication, attention to detail, and business judgment
- Demonstrated ability to embed within client teams and adapt to existing workflows and cultures
