RSP Group have been retained by a leading real estate and construction company headquartered in the Middle East, renowned for delivering large-scale residential, commercial, and infrastructure developments. As part of their international expansion strategy, they are establishing operations in the United States and are seeking an experienced Chief Legal Officer to provide strategic legal guidance and ensure compliance across all jurisdictions.

Role Overview:

The Chief Legal Officer (CLO) will serve as a key member of the executive leadership team and lead all legal matters related to the company’s US operations. This individual will be responsible for managing legal risk, overseeing contract negotiation, ensuring regulatory compliance, and aligning legal strategy with business objectives in both the US and Middle East.

Key Responsibilities:

Legal Strategy & Compliance:

Develop and implement legal frameworks and policies for US operations in alignment with corporate strategy and Middle Eastern regulations.

Ensure compliance with federal, state, and local laws across real estate, construction, employment, and corporate governance.

Contract Management:

Oversee negotiation, drafting, and management of all commercial contracts including construction agreements, land acquisitions, joint ventures, and vendor contracts.

Provide legal support during real estate transactions, development deals, and project financing.

Risk Management:

Identify legal risks and recommend proactive solutions to mitigate exposure in new and existing markets.

Lead legal due diligence on acquisitions, partnerships, and strategic investments.

Corporate Governance:

Advise the board and executive leadership on legal and regulatory matters.

Support corporate secretarial duties and maintain governance frameworks across jurisdictions.

Dispute Resolution:

Manage litigation, arbitration, and claims, working with external counsel where appropriate.

Oversee legal proceedings related to construction disputes, zoning, land use, and regulatory issues.

Team Leadership:

Build and lead a growing legal team as the US business scales.

Manage relationships with external legal advisors and consultants.

Key Requirements:

JD or equivalent legal degree; licensed to practice law in at least one US state (NY, CA, TX, or FL preferred).

15+ years of legal experience, with at least 5 years in a senior leadership position within the real estate or construction sector.

Proven experience supporting international business operations and navigating cross-border legal issues.

Deep knowledge of US real estate, construction, zoning, permitting, contract, and corporate law.

Strong commercial acumen and ability to balance legal and business priorities.

Experience working with or in Middle Eastern companies is highly desirable, but not essential.

Exceptional leadership, negotiation, and communication skills.

Willingness to travel internationally as needed.
