Watts & Associates is working discreetly with a highly regarded Am Law 100 global full-service firm seeking a mid- to senior-level Capital Markets Associate to join its New York office on a hybrid basis.

This opportunity combines sophisticated securities work for major financial institutions and multinational corporations with meaningful responsibility, direct partner access and the resources of an established international platform.

The Role

• Represent underwriters, issuers and placement agents in public and private securities offerings

• Lead and support IPOs, follow-on public offerings and other equity and debt transactions

• Advise on private placements and a broad range of securities offerings across multiple industries

• Draft and negotiate offering memoranda, prospectuses, purchase agreements, disclosure documents and related transaction materials

• Assume increasing responsibility for managing transactions from initial structuring through closing

• Conduct and coordinate securities-law due diligence and disclosure review

• Serve as a client-facing contact, coordinating with investment banks, opposing counsel, auditors and other advisers

• Manage transaction timelines, closing requirements and internal deal teams

• Work closely with partners on transaction strategy, client development and business-development initiatives

• Collaborate with attorneys across the firm’s international corporate, finance and regulatory practices

Ideal Candidate Profile

The firm is seeking an attorney with:

• Four to seven years of capital markets and securities-offerings experience

• Experience gained within a sophisticated law firm or comparable transactional practice

• Proven experience representing underwriters, issuers and placement agents

• Substantive exposure to IPOs, follow-on offerings, private placements and other public securities transactions

• Strong drafting, disclosure, negotiation and transaction-management skills

• The ability to independently manage complex workstreams and coordinate multiple deal participants

• Excellent commercial judgement and client-facing communication skills

• Strong law firm training, with particular emphasis placed on the quality and complexity of deal experience

• Active membership in the New York Bar

• The ability to work from the New York office four days per week

Experience with public-company reporting and Securities Exchange Act matters would be advantageous.

Compensation and Benefits

• Base salary of $265,000–$420,000, depending on experience

Location and Working Arrangement
