Watts & Associates is working discreetly with a highly regarded Am Law-ranked global full-service firm seeking a mid-level Capital Markets Associate to join its Houston office on a hybrid basis.

This opportunity offers direct access to high-value securities offerings for major financial institutions, multinational corporations and other sophisticated clients.

You will work closely with senior partners, assume substantive responsibility for active transactions and gain exposure to cross-border matters within a collaborative international platform offering strong professional development and long-term advancement potential.

The Role

• Represent underwriters, issuers and placement agents in public and private securities offerings

• Advise on IPOs, follow-on equity offerings, debt offerings and private placements

• Draft and negotiate offering documents, purchase agreements, disclosure materials and related securities documentation

• Assume increasing ownership of transaction workstreams from initial structuring through closing

• Conduct and coordinate securities-law due diligence and disclosure review

• Communicate directly with clients, opposing counsel, investment banks and other professional advisers

• Manage transaction timelines, coordinate closing requirements and help resolve legal and commercial issues

• Work closely with senior partners and attorneys across the firm’s international corporate platform

• Collaborate with colleagues in related energy, financial services and corporate practices

Ideal Candidate Profile

The firm is seeking an attorney with:

• Three to five years of capital markets and securities-offerings experience

• Experience gained within a sophisticated law firm or comparable transactional environment

• Proven experience representing underwriters, issuers or placement agents

• Substantive exposure to IPOs, follow-on offerings, debt offerings or private placements

• Strong drafting, securities-law, disclosure and transaction-management skills

• The ability to manage multiple workstreams and communicate effectively with sophisticated clients

• Strong academic credentials, with particular emphasis placed on the quality of the candidate’s transactional experience

• Active admission to the Texas Bar or the ability to obtain admission promptly

• The ability to work from the Houston office four days per week

Compensation and Benefits

• Base salary of $235,000–$365,000, depending on experience
