Location/Schedule: Manhattan (Hybrid – 2 days in office)
Base Salary: $275k
Practice: Securities Transactions – Capital markets, PIPEs, private placements, SPACs, registered direct offerings, and general securities work for high-growth companies and active investors.

Core Requirements (Flexibility for Exceptional Candidates):
- JD from an accredited law school and active New York bar admission.
- 3–5 years of securities transactions / capital markets experience (PIPEs, private placements, or general corporate securities strongly preferred).
- Excellent drafting and deal execution skills.
Responsibilities
- Draft and negotiate securities offering documents, registration statements, and closing materials
- Prepare and review disclosure schedules and due diligence materials
- Manage transaction timelines and coordinate with clients, investors, and regulatory counsel
- Advise on securities law compliance, structuring, and closing matters
- Support capital markets transactions including PIPEs, registered directs, and other exempt offerings
