Corporate Associate Attorney – New York City
Well established and dynamic law firm seeking a Corporate Associate Attorney to join our team in New York City. The ideal candidate will have at least 4 years of experience in corporate law, particularly in M&A, venture capital, and corporate transactions.
Responsibilities:
Negotiate, structure, and draft complex corporate transactions, including mergers, acquisitions, and joint ventures.
Provide legal support for venture capital and private equity deals, including fundraising and investment negotiations.
Conduct due diligence for corporate transactions and advise clients on business and legal risks.
Draft, review, and negotiate contracts and other corporate agreements.
Assist in the formation of entities, corporate governance matters, and shareholder agreements.
Advise clients on compliance with securities laws, corporate governance, and other regulatory matters.
Collaborate with senior partners on high-profile corporate transactions and provide leadership in managing deals.
Qualifications:
J.D. from an accredited law school.
Minimum of 4 years of experience in corporate law, particularly in M&A, venture capital, and complex corporate transactions.
Strong understanding of corporate governance and securities laws.
Excellent drafting, negotiation, and communication skills.
Ability to manage multiple projects and work in a fast-paced, team-oriented environment.
Admission to the New York Bar is required.
