Core Requirements (Flexibility for Exceptional Candidates):
- JD from an accredited law school and active U.S. bar admission.
- 5+ years of M&A / corporate experience (BigLaw or strong mid-sized firm preferred).
- Excellent drafting, negotiation, and deal execution skills.
Responsibilities
- Draft and negotiate purchase agreements, merger agreements, and ancillary transaction documents
- Conduct comprehensive due diligence reviews and prepare due diligence summaries
- Prepare and revise disclosure schedules and closing checklists
- Analyze and advise on deal structuring, risk allocation, and regulatory issues
- Manage transaction timelines and coordinate document production and revisions
