Responsibilities:
Draft and negotiate transaction documents, including merger agreements and stock purchase agreements, for M&A deals valued at $5M–$50M, ensuring compliance with 2024 SEC and NY regulations.
Conduct comprehensive due diligence, reviewing financial statements, contracts, and corporate records to identify risks and streamline deal closings.
Prepare and file regulatory submissions, such as Hart-Scott-Rodino notifications, coordinating with federal and state authorities to meet statutory deadlines.
Structure equity and debt financings, drafting term sheets and indentures to support corporate restructurings and acquisitions.
Review and revise shareholder agreements and corporate governance documents, ensuring alignment with transaction objectives and legal standards.
Manage closing processes, assembling and verifying deal binders to finalize multi-party transactions efficiently.
