We are seeking an experienced Corporate M&A Attorney to join our prestigious legal team. As a key player in our firm, you will be responsible for handling complex mergers and acquisitions transactions, providing strategic guidance, and ensuring successful deal closures.
Key Responsibilities:
Lead and manage all phases of M&A transactions, from due diligence and negotiation to drafting and finalizing agreements.
Provide legal advice and expertise on corporate governance, compliance, and regulatory matters.
Assess risks and opportunities associated with potential transactions and develop effective strategies to mitigate risks.
Collaborate with cross-functional teams, including finance, tax, and business development, to achieve deal objectives.
Conduct thorough legal research to stay current with industry trends and regulations.
Draft, review, and negotiate various transaction documents, including purchase agreements, shareholder agreements, and disclosure schedules.
Cultivate strong relationships with clients and provide them with sound legal counsel tailored to their business goals.
Qualifications:
Juris Doctor (JD) degree and active bar membership.
Minimum of 5 years of experience in corporate M&A law.
Proven track record of successfully executing complex M&A transactions.
Strong understanding of corporate finance, tax, and securities laws.
Exceptional analytical and problem-solving skills.
Excellent negotiation and communication abilities.
Ability to work effectively both independently and as part of a collaborative team.
