Position: Associate (Senior)
Associate (Senior) sought by Cleary Gottlieb Steen & Hamilton LLP in NY, NY to assist & represent private & public corporations as lead legal counsel in complex merger & acquisition transactions as well as in corporate governance matters. Reqs JD, LLM or foreign equiv & 4 yrs of exp as an Associate or rel occupation. Must incl 4 yrs of exp in each of the following:
Advising & representing private & public corporations on complex merger & acquisition transactions, incl in the info & communications tech industries;
Assisting private & public corporations w/ respect to delicate governance matters & the fiduciary duties of officers & directors to corporations & their boards, incl w/ respect to the interpretation & negotiation of corp documents & revision of corporate strategies;
Advising private & public corporations in multifaceted internal corporate restructurings, w/ respect to spin-offs, split-offs, distributions & contributions of assets, re-in corporations, domiciliation, dissolutions or conversions of entities & the drafting of related documents;
Assisting private & public corporations in shareholder activism & takeover defense matters; & Conducting analysis on complex areas of Delaware & EU corporate law & drafting legal memoranda. Must be admitted to practice law in the State of NY. Base salary for associate positions is $225,000 – $435,000/ yr, depending upon class yr.
