Primary Functions:

The Associate General Counsel acts as the company’s primary legal advisor, overseeing all legal matters and ensuring compliance with regulations and laws. This position most importantly will oversee the contract process and will review, draft and negotiate a variety of contracts for the Company.

Position Responsibilities:

Lead the legal function: Manage daily operations of the legal team and the budget to perform a broad range of legal work while providing strategic direction.

Oversee contract management: Draft, structure, review, and negotiate a wide range of agreements, including vendor contracts, transportation provider/vendor agreements, master services agreements, purchase orders, non-disclosure agreements, leases (land, equipment, software, etc.), and other related documents.

Point of contact to help navigate a broad range of matters, including labor, privacy, litigation, risk management, customs and border control, foreign transactions (FCPA), and the company’s patent portfolio.

Develop the company’s regulatory compliance framework, offering practical solutions that support innovation and growth while adhering to current and relevant laws.

Oversee and manage relationships with external legal counsel as needed to ensure high-quality and cost-effective support.

Assist in the defense of the Company in lawsuits and the prosecution of lawsuits on behalf of the Company.

Demonstrate judgment in balancing legal requirements and business interests.

Serve as subject matter expert for contract questions and issues.

Perform any other related duties as required or assigned.

Education and/or Experience Qualifications:

Juris Doctor, current law license (Texas preferred, but not mandatory)

6 to 10 years of work experience as a practicing lawyer (in-house, law firm, or government) in the area(s) of contract negotiations and transactions, real estate, compliance, litigation, or vendor management.

Extensive knowledge of contract cycles, types of contracts, and applicable government regulations.

Typically requires 3+ years of managerial experience.

Experience in managing compliance and risk mitigation for an organization including implementing regulatory changes to identify and communicate impacts to the organization.

Able to conduct business in a deadline driven work environment while prioritizing the needs of the business and their customers.

Strong negotiation skills and ability to build consensus and communicate compelling legal and business justifications.

Excellent legal research, verbal, and written communication skills.

Knowledge of Microsoft Office suite, Lexis/Nexis research system and other legal research tools.

Ability to use and manage a cloud-based contract database and docketing tools.

Experience working in the transportation and logistics industry a preferred.
