Summary
We have been engaged by a prestigious offshore law firm to assist with recruitment for a Legal Associate (1–3+ PQE; candidates with more experience can be considered for a Senior Associate role) to join their market-leading transactional funds division. Working closely with highly ranked offshore funds partners, you will advise prominent institutional clients, asset managers and sponsors on the structuring, formation, and lifecycle management of both hedge funds and private equity (PE) vehicles.

What you will do
- Fund Formation & Structuring: Draft, review, and negotiate fund documentation including Private Placement Memorandums (PPMs), limited partnership agreements, subscription agreements and constitutional documents.
- Transactional Support: Assist with fund-related corporate transactions, portfolio holding structures, secondary transfers, co-investments and joint ventures.
- Regulatory Compliance: Advise on ongoing regulatory and compliance matters throughout the fund lifecycle, including licensing, governance and regulatory filings.
- Client Management: Act as a key point of contact for clients, investment managers and onshore counsel, building strong relationships and managing transaction closings.
- Deal Execution: Drive the execution of deals alongside senior fee-earners, ensuring strict adherence to deadlines and offshore statutory requirements.
What you will bring
- PQE: 1 to3+ years of post-qualification experience within a reputable onshore or offshore law firm.
- Jurisdiction: Admitted to practice in a common law jurisdiction (e.g., Hong Kong, England & Wales, Australia, or New Zealand).
- Sector Experience: Solid technical background in investment funds (hedge funds, PE funds) or strong corporate/finance experience with a desire to pivot to funds.
- Skills: Excellent English drafting skills with outstanding commercial awareness and analytical ability.
- Languages: Fluent in both written and spoken Chinese and English.
