About the Team
The practice focuses on assisting asset managers and sponsors in the formation of Luxembourg-domiciled private funds, as well as advising on ongoing compliance and distribution matters. Providing specialist advice in relation to the structuring, set-up and compliance of regulated and unregulated private funds, particularly private equity, private credit, venture capital and real assets closed-ended funds. Also advising clients on AIFMD- and MiFID-related issues affecting managers and sponsors.
The team is recognised for delivering commercially focused, technically robust advice to leading global sponsors and institutional investors.
The Role
Seeking a talented Associate (2–5 years’ PQE) to join its Investment Management team in Luxembourg. The role offers the opportunity to work on sophisticated, cross-border mandates advising leading global asset managers and sponsors on the structuring, establishment and ongoing operation of Luxembourg investment platforms. Working closely with the Partner and Counsel, the successful candidate will advise on a broad range of fund formation, regulatory and compliance matters, with a particular focus on private equity, private credit, venture capital and real assets strategies.
Key Responsibilities
- Lead and manage the structuring and formation of Luxembourg-domiciled regulated and unregulated private funds (including RAIFs, SIFs, SICARs and other fund vehicles).
- Advise asset managers and sponsors throughout the full fund lifecycle, from structuring and launch through to ongoing operations and wind-down.
- Draft and negotiate constitutional documents, offering memoranda, subscription agreements and side letters.
- Provide strategic advice on fund governance, compliance and operational matters.
- Advise on cross-border marketing and distribution strategies.
- Provide regulatory advice relating to AIFMD and MiFID frameworks applicable to managers and sponsors.
- Coordinate with international counsel and service providers on multi-jurisdictional matters.
- Supervise and mentor junior associates and trainees within the team.
- Contribute to client development initiatives, publications and technical know-how.
Candidate Profile
- Qualified lawyer with 2–5 years’ post-qualification experience in investment funds or financial regulatory matters (Luxembourg or another leading funds jurisdiction).
- Strong experience advising on Luxembourg fund structures and EU regulatory frameworks, including AIFMD and MiFID.
- Excellent drafting, negotiation and project management skills.
- Ability to manage client relationships and run transactions with appropriate supervision.
- Strong academic background.
- Fluency in English; French and/or German would be advantageous.
- Commercially minded, proactive and able to thrive in a dynamic, international environment.
