Key Responsibilities
- Handle M&A, acquisitions, disposals, investments, joint ventures and corporate transactions.
- Conduct legal due diligence and identify key transaction risks.
- Draft, review and negotiate SPAs, shareholders’ agreements, investment agreements and related transaction documents.
- Advise clients on transaction structure, regulatory and corporate matters, warranties, indemnities and completion.
- Work closely with clients, counterparties and other professional advisers.
- Manage transactions independently and meet tight deadlines.
Requirements
- Qualified lawyer with a minimum of 2 years’ relevant M&A/corporate experience.
- Strong drafting, negotiation and analytical skills.
- Commercially minded, with excellent attention to detail.
- Able to manage transactions independently and work effectively as part of a team.
- Cross-border M&A and/or private equity experience is an advantage.
- Proficiency in English, Bahasa Malaysia, Mandarin and any other foreign language.
