Corporate Attorney

Company Overview:
Primum Law Group, a boutique law firm specializing in supporting entrepreneurs, is looking for a skilled Corporate Attorney to join our dynamic and growing team. In this role, you will provide comprehensive legal support as outside general counsel to startups and international companies, focusing on business transactions, mergers and acquisitions, corporate governance, compliance, and commercial contracts. You will work independently with the support of the Partner, efficiently managing your own priorities and client matters.
Key Responsibilities:
Advise clients on corporate structuring, governance, and regulatory compliance.
Provide strategic legal counsel on corporate transactions and risk management.
Support corporate strategy, operations, and legal documentation.
Manage corporate financing, employee compensation, and executive agreements.
Provide proactive risk management and compliance guidance.
Draft, review, and negotiate business contracts, including partnership agreements, service contracts, and NDAs.
Lead the mergers, acquisitions, and investment transactions.
Qualifications:
Juris Doctor (J.D.) from an accredited law school.
Admitted to the bar in Texas.
5+ years of experience, including 2+ years advising startups or in-house counsel.
Proven experience with startup law, corporate governance, and venture financing.
Strong legal drafting, negotiation, and client management skills.
Experience working with international companies and cross-border transactions.
Proficiency in Outlook, Microsoft Teams, and calendar management systems, experience using case and documents management systems.
