Work Required
Drafting and editing securities offering documents and periodic reports.
Drafting and editing securities-related contracts, including offering documents, regulatory notice filings, and subscription agreements.
Drafting and editing corporate documents, including LLC and partnership agreements, bylaws, buy-sell agreements, equity compensation plans, and business entity minutes.
Drafting and editing transactional documents, including asset purchase agreements and mergers and acquisitions documents.
Drafting and editing real estate-related documents.
Effectively communicating with sophisticated clients.
Effectively communicating with government regulators.
Qualifications
Familiarity with Texas Business Organizations Code and Delaware corporate law.
Familiarity with Securities Act of 1933, Securities Exchange Act of 1934, Investment Adviser Act of 1940, Texas Securities Act and rules promulgated thereunder.
Familiarity with business transactional practice.
Independent worker and self-starter.
Juris Doctor (JD) degree and admission to the State Bar.
2 – 8 years of experience in securities law, mergers and acquisitions, or corporate law is a plus.
