Overview
We are a small, family-owned law firm based in Southern California. We serve as outside general counsel for many technology and entertainment adjacent organizations. We are seeking an associate attorney with 4-5 years of experience in general corporate law to join our growing firm. Corporate transactional drafting experience and IP background required, interest in technology a plus. Associate will be client facing so good interpersonal skills are a must.
Responsibilities
Draft Corporate legal documents including Term Sheets, Equity Grant Agreements, SAFEs, Convertible Notes, Series A funding rounds, M&A, Terms of Service, Distribution agreements, MSAs, and Token Award Agreements
General business matters, including corporate minutes, entity formations, drafting Operating Agreements, By-Laws and similar organizational documents
Perform legal research, draft client memorandum and induvial handle minor matters
Draft client status reports, conduct investigations and communicate with clients
Skills
Graduate of an accredited law school and licensed to practice law and in good standing in at least one state
4-5 years of experience in general corporate law
Successful candidate will be detail oriented and highly organized
Professional in written and verbal correspondence
