Job Title: In-House Counsel – Corporate and Securities
(Remote, Part-Time to Full-Time)

Job Summary:
We are seeking an experienced and skilled in-house lawyer to join our legal team on a part-time to full-time basis. The ideal candidate will have a strong background in corporate and securities law, with a focus on advising on corporate governance, securities compliance, and capital markets transactions. Additionally, the candidate should have a general understanding of real estate law and a basic knowledge of crypto markets.Key Responsibilities:
Corporate Governance: Advise on corporate governance matters, including board composition, executive compensation, and shareholder relations.
Securities Compliance: Ensure compliance with federal and state securities laws, including registration and reporting requirements.
Capital Markets Transactions: Advise on capital markets transactions, including public and private offerings, mergers and acquisitions, and joint ventures.
Real Estate: Provide general advice on real estate matters, including property acquisitions, dispositions, and financings.
Crypto Markets: Provide basic advice on crypto markets, including blockchain technology, cryptocurrency transactions, and regulatory compliance.
Contract Review and Negotiation: Review and negotiate contracts, including commercial agreements, employment agreements, and vendor contracts.
Risk Management: Identify and mitigate legal risks associated with corporate and securities matters.
Requirements:
Juris Doctor (J.D.) degree: From an accredited law school.
Bar admission: Admitted to practice law in the state where the company is headquartered.
Experience: Minimum 5 years of experience in corporate and securities law, with a focus on advising on corporate governance, securities compliance, and capital markets transactions.
Knowledge: Strong knowledge of corporate and securities laws, including the Securities Act of 1933 and the Securities Exchange Act of 1934.
Skills: Excellent drafting, negotiation, and communication skills, with the ability to work effectively with cross-functional teams.
Certifications: Certified Corporate Counsel (CCC) or Certified Securities and Financial Markets Specialist (CSFMS) certification is a plus.
Nice to Have:
MBA or business degree: From an accredited institution.
Experience with crypto markets: Experience advising on crypto markets, including blockchain technology, cryptocurrency transactions, and regulatory compliance.
Experience with real estate: Experience advising on real estate matters, including property acquisitions, dispositions, and financings.
Work Arrangement:
Remote work: This is a remote position, and you will be expected to work from home or a remote office.
Part-time to full-time: We are open to discussing part-time or full-time arrangements, depending on your availability and needs.

Compensation:
In lieu of a traditional salary, we are offering a unique opportunity for sweat equity in exchange for shares in the company. As a key member of our legal team, you will have the opportunity to contribute to the growth and success of the company, and to benefit financially from that success.
Equity stake: You will receive a significant equity stake in the company, with the potential for substantial returns on investment.
Vesting schedule: Your equity stake will vest over a period of time, typically 3-4 years.
No salary or benefits: You will not receive a salary or benefits during the vesting period. However, you will have the opportunity to participate in the company’s employee stock option plan (ESOP) and to purchase additional shares at a discounted rate.
