TCB’s Legal Department, situated in our Boston office, manages TCB’s corporate and transactional legal work and consists of 5 attorneys and 2 paralegals. We act as transactional counsel with respect to complex real estate development transactions and, on some projects, engage and oversee outside counsel; form and maintain over 600 affiliated entities; provide or manage all corporate legal services; and advise on legislative and policy matters.
As a member of the Legal Department, the Assistant or Associate General Counsel will assist with all aspects of the Department’s work, including transactional deal work, training, contract review and negotiation, and other corporate legal services. The position is full-time, based in the Boston corporate office at 185 Dartmouth Street, with potential for remote work up to 3 days per week.
Specific responsibilities include, but are not limited to:
Transactional Practice: Work on real estate and housing development transactions, including financial structuring, title and real estate conveyancing, and complex financings involving multiple funding sources. Also, work on acquisitions, refinancings, and dispositions of properties.
Compliance and Management: Provide advice on regulatory and legal compliance, develop and implement compliance policies, forms, systems, and tools.
Legal Entity Formation and Maintenance: Advise on corporate structure, capital and lending relationships, 501(c)(3) status, and maintain over 600 subsidiaries and affiliates.
Legislative and Policy Matters: Participate in legislative and policy initiatives related to TCB’s mission.
Staff Training: Assist in training staff across departments, including real estate development, asset management, and property management.
Education & Experience:
Excellent academic record;
2-6 years’ experience as a corporate and/or real estate transactional attorney;
Experience with affordable housing, community development finance, LIHTC, zoning, construction contracts, nonprofit law, fair housing, and corporate law;
Admission to MA state bar;
Commitment to affordable housing and community development work.

Salary range varies from $115K to $160K depending on experience.
