About the Role

To assist the Company in ensuring compliance with statutory and regulatory requirements under the Companies Act, SEBI regulations, FEMA, and other applicable laws, and support the corporate governance function. To assist in the monitoring and reporting of the compliance framework of the organization by ensuring adherence to applicable laws, regulations, and internal policies.

Responsibilities

Statutory Compliance Regulatory Filings and Liaisons:

  • Ensure timely compliance under the Companies Act, 2013 and rules thereof.
  • Prepare and file forms with the Ministry of Corporate Affairs (MCA) and Corporate Actions.
  • Liaise with regulators like MCA, ROC, SEBI, RBI (for FEMA-related matters), and Holding Company.
  • Coordinate with Secretarial and Statutory auditors.

Board & Shareholder Meetings:

  • Assist in convening, conducting, and documenting Board, Committee, and General Meetings.
  • Draft notices, agendas, resolutions, minutes, and explanatory statements.
  • Follow-up on actionable items arising from meetings.

Secretarial Audits & Reporting:

  • Assist in coordination with Secretarial Auditors.
  • Prepare annual secretarial compliance report and disclosures under SEBI regulations.
  • Maintain records for internal and statutory audits.

Compliance Monitoring & Reporting:

  • In-charge of Online Compliance Management Tool and internal controls.
  • Conduct periodic compliance reviews and compliance internal audits.
  • Maintain compliance trackers and regulatory filing schedules.
  • Monitor regulatory updates and assess impact on business operations.

Qualifications: Qualified Company Secretary (ACS); LLB preferred

Required Skills

  • Strong knowledge of the Companies Act, and other corporate law.
  • Excellent drafting and documentation skills.
  • Working knowledge of MCA portal.
  • Proficiency in MS Office (Word, Excel, PowerPoint).
  • Attention to detail and high level of integrity.
  • Strong communication and coordination skills.

Preferred Skills

  • Company Secretary with Around 6-8 years of relevant experience.
  • Experience with a Practicing Company Secretary Firm or Law Firm will be preferred but not must.
  • LLB or legal background is a plus but not must.
