Role Overview

We are looking for an Assistant Manager – Legal to support the legal, regulatory and commercial requirements of a fast-growing digital lending platform / Lending Service Provider (LSP).

The role will involve working closely with Product, Technology, Business, Operations, Risk, Compliance and partner NBFCs/banks to ensure that the platform, customer journeys, technology integrations and commercial arrangements are legally and regulatorily sound.

This is a high-ownership role requiring strong understanding of digital lending, fintech regulations, technology contracting and customer-facing regulatory requirements.

Role Description

1. Digital Lending & Regulatory Advisory

– Advise business and product teams on applicable RBI regulations and other laws governing digital lending and LSP activities.

– Support compliance with the RBI Digital Lending framework, including requirements relating to LSPs, customer disclosures, KFS, digital journeys, data handling, grievance redressal and outsourcing arrangements.

– Advise on new products, features, lending journeys, pricing, fees, collection processes and changes to the platform.

– Monitor regulatory developments and translate them into actionable business requirements.

– Support regulatory gap assessments, compliance reviews and implementation of regulatory changes.

2. Partner NBFC / Bank Arrangements

– Draft, review and negotiate agreements with lending partners, including LSP agreements, sourcing arrangements, technology arrangements, service agreements and other partnership documentation.

– Advise on allocation of responsibilities between the LSP and regulated entities.

– Review arrangements involving sourcing, underwriting support, customer onboarding, servicing, collections and other lending activities.

– Support regulatory and contractual governance of third-party and partner relationships.

3. Product & Customer Journey

– Work with Product and Technology teams to build legally compliant digital lending journeys.

– Review customer-facing documentation, including loan application journeys, T&Cs, consent language, privacy notices, KFS-related disclosures and other customer communications.

– Review implementation of regulatory disclosures and customer consent mechanisms.

– Identify legal and regulatory risks in product flows and recommend practical solutions.

4. Technology, Commercial & Vendor Contracts

– Draft, review and negotiate MSAs, technology agreements, SaaS agreements, vendor agreements, NDAs, marketing agreements and other commercial contracts.

– Advise on technology risk, service levels, liability, indemnities, intellectual property, confidentiality, audit rights, business continuity and termination provisions.

– Support contracting with technology, KYC, credit bureau, collections, payment, communication and other fintech vendors.

– Develop and maintain standard templates, clause libraries and contracting playbooks.

5. Data Protection & Technology Governance

– Advise on applicable data protection and privacy requirements, including the Digital Personal Data Protection Act, 2023.

– Review privacy notices, consent mechanisms, data-processing arrangements and data-sharing structures.

– Support legal review of data access, retention, storage, sharing and processing arrangements.

– Work with Technology, Information Security and Compliance teams on privacy and data governance matters.

6. Risk, Disputes & Regulatory Matters

– Identify and advise on legal, regulatory and contractual risks arising from platform operations.

– Manage legal notices, disputes, consumer complaints and regulatory queries in coordination with internal teams and external counsel.

– Support responses to regulatory inspections, audits and information requests where applicable.

– Assist in developing remediation plans for identified legal and regulatory gaps.

Basic Requirements

– LL.B. degree from a recognised university; enrolment with the Bar Council preferred.

– 4–6 years of post-qualification in the mentioned corporate role
