Compensation: $175,000 to $225,000 annually plus equity, commensurate with experience

Position Summary

The Assistant General Counsel is a hands-on, generalist in-house role supporting the full range of the company’s legal needs. Reporting directly to the General Counsel, the Assistant General Counsel will draft and negotiate commercial and supplier agreements, support employment and corporate governance matters, assist with entity management and M&A due diligence, and review marketing materials for legal and regulatory compliance. This is an ideal opportunity for an attorney with three to five years of experience who is looking for broad experience and the opportunity to take on early responsibility and work closely with senior leadership in a fast-moving, mission-driven environment.

Key Responsibilities

1. Draft, review, and negotiate a broad range of commercial contracts, including services agreements, master agreements, statements of work, licensing arrangements, and nondisclosure agreements.

2. Draft and review supplier, vendor, and procurement agreements, and support the company’s contract lifecycle and template development.

3. Draft and review employment agreements, offer letters, restrictive covenants, separation agreements, and related employment documentation, and support day-to-day employment law matters.

4. Support corporate governance activities, including preparation of board and committee materials, resolutions, minutes, and consents.

5. Assist with entity management across the company’s corporate structure, including formations, dissolutions, qualifications, annual filings, and maintenance of corporate records.

6. Support mergers, acquisitions, and investment transactions, including legal due diligence, disclosure schedules, and closing mechanics.

7. Review marketing, sales, and promotional materials for legal accuracy and regulatory compliance.

8. Advise internal stakeholders on data privacy, confidentiality, and regulatory compliance matters relevant to the company’s business.

9. Help manage and coordinate outside counsel on specialized matters as needed.

10. Support other legal and business initiatives as directed by the General Counsel.

Required Qualifications

1. Juris Doctor (J.D.) from an accredited US law school.

2. Active membership in good standing of at least one US state bar; ability to satisfy registered in-house or corporate counsel requirements applicable to the location of remote work.

3. Three to five years of relevant legal experience, whether at a law firm, in-house, a government agency, or a combination.

4. Demonstrated experience drafting and negotiating commercial contracts.

5. US citizenship.

6. Strong drafting, analytical, and communication skills, with the ability to manage multiple matters and priorities independently.

7. Sound judgment, discretion, and the ability to handle confidential and sensitive information.

Preferred Qualifications

1. Experience with government contracts and defense industrial base contracting.

2. Familiarity with employment law, corporate governance, and M&A due diligence.

3. Experience with data privacy and cybersecurity regulatory frameworks.

4. Eligibility to obtain and hold a US government security clearance (e.g., Secret or Top Secret) is a plus but not required.

5. Residence in or proximity to the Washington, DC metropolitan area.

Work Arrangement

This position is remote-eligible for candidates based in the United States. Candidates in the Washington, DC metropolitan area are preferred. Occasional travel may be required to company offices, client sites, or company events.
