Role Description
Indel Services, LLC is a service organization for a large group of manufacturing companies. The Assistant Corporate Counsel provides legal support by advising on a wide range of corporate, contractual, regulatory, and compliance matters. This role collaborates with internal stakeholders to review and draft agreements, mitigate legal risks, ensure adherence to applicable laws and company policies, and support day-to-day legal operations. This position will report directly to the Corporate Counsel of Indel Services, LLC and is responsible for assisting with legal management of its affiliated companies.
Requirements:
- A Law School degree and bar membership along with three (3) years of legal experience in a Corporate or Law Firm Environment is required.
- Draft, review, edit and consult with companies on legal documents, including but not limited to, terms and conditions, non-disclosure agreements, purchase orders, supply agreements and service contracts.
- General legal research as needed/requested.
- Provide analysis and legal advice related to U.S. export control regulations to ensure compliance and address inquiries from affiliated companies when necessary.
- Handle low-level contract and legal disputes over past-due invoices, warranty claims and facility access agreements.
- Review creditor bankruptcy court notices, gather account information for affiliated companies, prepare and file proofs of claim and provide general advice regarding bankruptcy claims.
- Assist and advise on corporate governance matters including by-laws, articles of incorporation, meeting minutes and unanimous consents.
- Assist and advise on real estate/environmental matters, or local permitting related to property owned by affiliated companies, domestically.
- Other legal duties as directed by Corporate Counsel.
Additional skills:
- Excellent command of the English language for a variety of verbal and written communications, including presentations, reports, meetings and correspondences. Requires the ability to express complex ideas in a coherent, articulate and persuasive manner.
- The ability to interpret all matters that confront affiliated companies in a legal context.
- Ability to prepare and monitor projects and prepare periodic summaries of litigation and litigation reports.
- Skilled in negotiations
- Highly effective human relations skills are required.
- Have a neat business-like appearance.
- Able to bend and reach, sit for long periods of time, and able to traverse the building.
