Corporate Counsel (Troy, MI)
Summary
The Corporate Counsel reports directly to the General Counsel and works with the General Counsel to ensure that our operations and business transactions follow all relevant legal and internal rules. The Corporate Counsel will support the General Counsel in the management of all legal issues impacting company operations, the bulk of which will relate to health plans, pension plan administration, and contract drafting and review.
This position is based in our Troy, Michigan headquarters with the possibility for a hybrid work-from-home/in-office schedule.
Essential Duties and Responsibilities include but not limited to
Ensure internal processes comply with Internal Revenue Code, Medicare, ERISA, HIPAA, ACA, and No Surprises Act.
Proactively audit processes, practices, and documents to identify weaknesses and areas for improvement.
Evaluate business activities to assess compliance risk.
Direct the compliance of tax filings, governmental filings, federal and multistate regulations to ensure accuracy and timeliness.
Serve as a project manager on special filing-related projects.
Perform quality control with respect to required filings and related communications.
Conduct training and provide oversight and support to employees regarding Internal Revenue Code, Medicare, ACA, No Surprises Act and ERISA requirements.
Work with managers to implement new regulations related to required filings.
Address employee concerns or questions regarding legal compliance.
Communicate with clients regarding rules and regulations applicable to benefit administration.
Liaison with outside parties about governmental filings as needed.
Collaborate with external auditors, consultants and counsel when needed.
Review and draft forms and contracts, including provider agreements, policies and procedures, member facing materials, etc.
Revise documentation with new or revised laws and regulations related to required filings.
Monitor applicable agencies for new guidance and/or regulations.
Ensure company operates in a legal and ethical manner while meeting business objectives.
Regular and predictable attendance is an essential function of this job.
Other duties as may be assigned.
Education and/or Experience
Juris Doctor from accredited law school, required.
One (1) year of experience as a practicing attorney, required.
At least two (2) years of employee benefit experience and contract review and drafting.
Experience in compiling, coordinating, and analyzing regulatory requirement data.
Excellent critical thinking and problem-solving skills.
Ability to effectively communicate at all organizational levels, both orally and in writing.
Ability to manage multiple tasks and deliverables in a fast-paced environment.
Language Skills – Ability to communicate professionally and clearly, both verbally and in writing. Strong language and writing skills. Excellent reading comprehension.
Reasoning Ability – Able to apply common sense to carry out detailed written or verbal instructions. Excellent analytical and problem-solving skills are necessary.
Certificates, Licenses, Registrations – Licensed and in good standing to practice law in the State of Michigan and/or California.
Physical Demands – Representative of those typically required of an individual working in an office environment. Position requires work at a computer display terminal and desk, including typing on a keyboard, for a substantial part of the workday. Position will spend a significant amount of time communicating both electronically and via telephone.
Work Environment – Typical office environment with standard equipment and tasks. Position works principally in the Company’s office, but remote work is possible with Company approval.
Work Schedule – Full-time. Monday – Friday, 8:30am – 5:00pm. Requires in-office days but also possibility of hybrid work.

Pay
The salary for this position is $120,000 per year. Actual salary is dependent on skills, experience, education, and other business factors.
