Opportunity:

We are seeking a highly skilled and mission-aligned Corporate Attorney to join our growing legal team. This role will be responsible for negotiating, reviewing and drafting general corporate and business contracts, addressing risk management matters and handling regulatory compliance, with approximately 20% of the role focused on intellectual property (“IP”) strategy and protection. The ideal candidate has a strong work ethic, is comfortable working in a fast-paced environment across departments, and brings a proactive, solution-oriented mindset.

Responsibilities:

Draft, review, and negotiate a wide range of contracts including service agreements, vendor agreements, independent contractor agreements, licensing agreements, and talent/speaker agreements.

Provide counsel on legal risk mitigation, dispute resolution, liability exposure, and business compliance.

Advise business leaders on contract terms, negotiation strategy, and legal implications of business decisions.

Assist with corporate governance matters, entity management, and policy implementation.

Support regulatory compliance with FTC, SEC, advertising, and consumer protection laws, particularly related to education, digital marketing, and live events.

Maintain organized documentation and contract management processes.

Conduct legal research and stay informed on relevant legislation, regulations, and case law developments.

Identify and mitigate legal risks across departments, ensuring alignment with current laws and internal policies.

Assist in handling claims, insurance issues, and general liability matters.

Assist in the development and execution of IP strategy including trademark filings, brand protection, and copyright issues.

Draft and negotiate IP-related agreements (e.g., trademark license agreements, NDAs, speaker content rights).

Coordinate with outside counsel on IP prosecution, enforcement, and portfolio management.

Provide guidance on proper use of company-owned and third-party intellectual property.

Qualifications:

Juris Doctor (JD) from an accredited law school; licensed and in good standing with at least one U.S. state bar.

Excellent drafting, negotiation, analytical and problem-solving skills.

Minimum of 5+ years of contract law and IP law experience, with in-house experience preferred.

Strong understanding of corporate governance, regulatory compliance, contract law and IP law.

Knowledge of FTC and SEC regulations related to advertising, marketing, and financial education preferred.

Ability to manage multiple projects and work effectively in a fast-paced environment.

Meticulous attention to detail and exceptional organizational skills.

High level of integrity, initiative, and sound judgment.

Strong interpersonal skills and the ability to communicate effectively with both legal and non-legal stakeholders.

Strong collaboration skills to work cross-functionally with finance, compliance, sales and marketing teams.

Proficiency in using Microsoft tools (Word, Outlook, Excel, Power Point), Teams, contract management tools, project tracking systems, and other relevant tools.
