Job Summary:
We are seeking a dynamic and experienced Corporate Counsel to join our legal team at LightEdison. The Corporate Counsel will be responsible for providing expert legal advice, ensuring compliance with regulatory requirements, managing contract negotiations, and mitigating legal risks associated with the company’s operations. This role is integral to supporting our mission of delivering sustainable energy solutions.
Key Responsibilities:
Contract Management:
Draft, review, negotiate, and finalize contracts including EPC agreements, PPAs (Power Purchase Agreements), supply chain contracts, and service-level agreements.
Ensure all contracts comply with company policies and applicable laws.
Regulatory Compliance:
Monitor and ensure compliance with federal, state, and local regulations related to renewable energy, construction, environmental standards, and labor laws.
Liaise with regulatory agencies and manage licensing and permitting processes.
Risk Management:
Identify potential legal risks and develop strategies to mitigate them.
Provide legal counsel during project development, construction, and operation phases.
Corporate Governance:
Support corporate governance matters, including board meetings, resolutions, and compliance with corporate formalities.
Advise on legal issues related to mergers, acquisitions, and joint ventures.
Dispute Resolution:
Manage litigation and arbitration matters, including coordinating with external counsel as necessary.
Resolve disputes related to construction delays, warranty claims, or project performance.
General Legal Support:
Provide guidance on intellectual property, employment law, and data privacy matters.
Stay updated on legal trends in the renewable energy sector and provide proactive legal insights.
Qualifications:
Education & Experience:
Juris Doctor (JD) degree from an accredited law school.
Active license to practice law in [state/country of operation].
Minimum of 5-8 years of legal experience, preferably with a focus on renewable energy, construction, or infrastructure projects.
Skills & Competencies:
Expertise in contract law, construction law, and energy regulations.
Strong negotiation and drafting skills.
Ability to manage multiple priorities and meet tight deadlines.
Excellent communication and interpersonal skills.
Demonstrated ability to work collaboratively with cross-functional teams.
Preferred Experience:
Prior in-house counsel experience in a solar or renewable energy company.
Familiarity with financing structures such as tax equity or debt financing.
Experience working with international contracts and cross-border transactions.
