Job summary:
NetApp, the multi-billion-dollar intelligent data infrastructure company, is seeking a highly motivated Senior Counsel or Counsel to join its award-winning legal department. The successful candidate will support the company’s growing product legal function, with a focus on our rapidly expanding cloud storage services and intelligent data services. This role will have an immediate impact on our leading efforts to provide customers with unparalleled management and application of their data estates across on-prem and cloud deployments through new AI tools and services. This position is based in San Jose, California, but other locations with NetApp offices will be considered for the right candidate.
Job responsibilities:
Serve as a strategic business advisor to NetApp’s cloud storage and data management products and services
Partner with product teams and other cross-functional stakeholders (e.g., engineering, ops, finance, support, etc.) in support of all phases of the product lifecycle: conception, design, MVP, go-to-market, GA, support, and end-of-life/deprecation
Embed yourself within product and engineering organizations to ensure compliance with regulatory regimes, commercial/contractual partnerships, and internal policies
Serve as a resource for internal clients on a wide range of legal areas, including developing issues around the application/deployment of AI and LLMs, as well as issues dealing with open source and IP licensing, data privacy and security, and tech transactions, among others
Help build and participate in scalable processes for legal review and launch of new products; identify interdependencies to foster alignment/track approvals across multiple stakeholder groups
Work with cross-functional stakeholders to structure and draft product-specific terms to be incorporated into standard commercial templates, custom templates (such as SDK or API licenses, terms of use, and product policies/documentation
Assist product and finance teams to optimize commercial agreements for desired revenue modeling (e.g., software, hardware, recurring services/SaaS, leases, etc.)
Job requirements:
8 years of relevant experience (preferred but not required) in law firm or in-house practice, supporting tech transactions or product development in cloud services or SaaS markets
Demonstrated experience in tech product lifecycle management, guiding clients and products through launch processes
Knowledge and experience in IP matters, product development, commercial/go-to-market issues, data privacy and security, and compliance, especially as they arise in complex SaaS, IP licensing, and strategic partnership agreements
Substantial experience advising, structuring, drafting, and negotiating tech transactions, including partner agreements, OEM relationships, inbound/outbound licenses, strategic partnerships/alliances, SaaS, and professional/hosted services agreements
Strong interest and ability develop in-depth knowledge of NetApp’s wide range of data storage and management solutions to provide strategic and pragmatic, business-centric legal advice
Self-starter mentality to proactively engage clients; comfortable working in and sorting through ambiguity, with a proven track record in building credibility with and influencing cross-functional teams
Providing foresight and protection for the company against legal risks.
Preparing and examining contracts involving leases, licenses, purchases, sales, insurance, etc.
Coordinating proactive completion of discovery as a case may require, i.e. interrogatories, request for production of documents, depositions.
Managing all phases of litigation in cases involving employment discrimination, breach of contract, wrongful discharge and unfair labor practice claims.

Compensation:
The target salary range for this position is $171K – $255K. The salary offered will be determined by the candidate’s location, qualifications, experience, and education and may be outside of this range. Final compensation packages are competitive and in line with industry standards, reflecting a variety of factors, and include a comprehensive benefits package. This may cover Health Insurance, Life Insurance, Retirement or Pension Plans, Paid Time Off (PTO), various Leave options, Performance-Based Incentives, employee stock purchase plan, and/or restricted stocks (RSU’s), with all offerings subject to regional variations and governed by local laws, regulations, and company policies. Benefits may vary by country and region, and further details will be provided as part of the recruitment process.
